CyberNexus, LLC Terms and Conditions

Welcome to CyberNexus, LLC ("CyberNexus," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our membership portal and services, including free admission to one Data Connectors and/or CyberNexus in-person event, a jobs board entitled Career Connect, free admission to all Data Connectors and CyberNexus virtual events, discounts on cybersecurity training and certifications, discounts on cybersecurity products and services, access to on-demand materials, participation in cybersecurity forums, and information access from the CyberNexus Cyber Fraud Task Force (collectively, the "Services").
By accessing or using our Services, you agree to these Terms. If you do not agree to these Terms, please do not use our Services.
1. Membership and Eligibility
1.1 Membership Options: CyberNexus offers flexible membership options to meet various needs. Memberships require a one-year minimum commitment.
1.2 Membership Requirements: To use our Services, you must create an account and become a member. Membership is open to individuals who are at least 18 years old.
1.3 Account Security: You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
1.4 Membership Term and Renewal: Memberships are based on a one-year minimum commitment and will automatically renew on an annual basis. Payment schedules are designed to provide flexibility, ensuring uninterrupted access to our Services. Payment installment plans do not create separate monthly memberships but facilitate payment for the annual commitment. Payment may be made upfront or in monthly installments. By becoming a member, you agree to an automatic renewal of your subscription unless you cancel your membership prior to the renewal date and after the initial one-year commitment is fulfilled. 2. Services
2.1 Data Connectors In-Person Event: As a member, you are entitled to free admission to one Data Connectors and/or CyberNexus in-person event per membership year. Additional events may be available for a fee.
2.2 Career Connect: Our jobs board, Career Connect, provides access to job listings and employment resources. Members can apply for jobs, post resumes, and receive job alerts.
2.3 Virtual Events Members: receive free admission to all virtual events hosted by Data Connectors and CyberNexus. These events cover various topics related to cybersecurity and professional development.
2.4 Discounts on Training and Certifications: Members are eligible for discounts on cybersecurity training and certifications. Discounts are subject to provider terms and availability.
2.5 Discounts on Products and Services: Members receive discounts on products and services as provided by third-party partners. Discounts are dependent on provider discount guidelines and use policies.
2.6 On-Demand Materials: Members have access to a library of on-demand materials, including webinars, articles, and other educational content.
2.7 Cybersecurity Forums: Members can participate in cybersecurity forums to discuss industry trends, share knowledge, and network with other professionals.
2.8 Cyber Fraud Task Force Information Access: Members receive access to information and resources from the CyberNexus Cyber Fraud Task Force, including reports, alerts, and best practices.
3. Payments and Refunds
3.1 Payment Methods: We accept various payment methods, including credit cards and other electronic payment options. You agree to provide accurate and up-to-date payment information.
3.2 Billing and Charges: Membership fees can be paid annually or through installment plans, depending on the option chosen at the time of registration. All charges will be applied to your selected payment method along with any applicable taxes. Regardless of the payment method chosen, the membership commitment is for one year. Annual fees or monthly installment charges will be applied to your selected payment method, along with any applicable taxes. Monthly membership fees are charged on the same day of each month as the subscription start date. You authorize us to charge your selected payment method for the applicable membership fee and any applicable taxes.
3.3 Refund Policy: All membership fees are non-refundable. If you cancel your membership, you will continue to have access to the Services until the end of your current billing period, but you will not receive a refund. Cancellation of annual memberships is permitted only after the one-year commitment is fulfilled. 4. Use of Services
4.1 Permitted Use: You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

In any way that violates any applicable federal, state, local, or international law or regulation.

For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

To transmit any advertising or promotional material without our prior written consent.
4.2 Prohibited Conduct You agree not to:

Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.

Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose.

Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
5. Intellectual Property
5.1 Ownership: The Services and their entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CyberNexus, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2 Limited License: You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.
5.3 Restrictions You may not:

Modify, copy, distribute, download, store, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Services, except as automatically cached by your web browser for viewing purposes.

Remove or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
6. Termination
6.1 Termination by CyberNexus: We may terminate or suspend your membership and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
6.2 Effect of Termination: Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may do so by contacting us. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Limitation of Liability: To the fullest extent permitted by law, in no event shall CyberNexus, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
8. Governing Law: These Terms shall be governed and construed in accordance with the laws of the state of Missouri, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the state of Missouri.
9. Changes to Terms: We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after such changes are posted will constitute your acceptance of the new Terms. We encourage you to review these Terms periodically for any changes.
